1 Acceptance of Terms
These Terms of Service ("Terms") form a binding legal agreement between you and ChatPadi ("we", "us", or "our"). By creating an account, accessing our platform, or using any ChatPadi service, whether as a seller, a customer, or a visitor, you agree to be bound by these Terms and our Privacy Policy.
If you are using ChatPadi on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.
If you do not agree to these Terms, do not use ChatPadi.
2 The ChatPadi Service
ChatPadi is a conversational commerce platform. We provide:
- Tools for sellers to create and manage AI-powered online storefronts
- Ama, an AI sales agent that chats with customers on the seller's behalf, answers product questions, builds orders, and guides customers to payment
- Order management, payment tracking, and seller notification tools
- Optional integrations with WhatsApp Business, payment gateways (Paystack, Flutterwave, Stripe), and email notifications
ChatPadi is a technology platform. We are not a party to any transaction between sellers and their customers. We do not sell, ship, or guarantee any goods or services listed on seller storefronts.
3 Accounts & Eligibility
3.1 Eligibility
You must be at least 18 years old to create a seller account or enter into a binding transaction on ChatPadi. By using the platform, you confirm that you meet this requirement.
3.2 Account Registration
To become a seller, you must register with a valid email address and create a password. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials secure and confidential
- Notify us immediately at hello@chatpadi.com if you suspect unauthorised access to your account
- Be responsible for all activity that occurs under your account
3.3 One Account per Seller
Each seller may operate one account. You may not create multiple accounts to circumvent suspensions, limits, or any other policies.
3.4 Store Approval
New stores may be subject to a review process before being made fully active. We reserve the right to approve, reject, or suspend stores that do not meet our standards or these Terms.
4 Seller Terms
4.1 Your Responsibilities
As a seller on ChatPadi, you are solely responsible for:
- The accuracy of product listings: name, description, price, availability, and images
- Fulfilling orders in a timely manner once payment is confirmed
- Handling customer complaints, disputes, refunds, and returns
- Complying with all applicable laws in your jurisdiction, including consumer protection, e-commerce, taxation, and import/export regulations
- Ensuring your products are legal to sell in the markets you target
- Maintaining accurate payment account details (mobile money number, bank details) displayed to customers
4.2 Prohibited Products
You may not list or sell any of the following on ChatPadi:
- Illegal goods or services of any kind
- Counterfeit, pirated, or unauthorised replica products
- Weapons, firearms, ammunition, or explosive materials
- Controlled substances, narcotics, or prescription drugs without proper authorisation
- Adult content, pornography, or services exploiting minors
- Human trafficking, slavery, or forced labour
- Financial instruments, securities, or investment products without regulatory approval
- Hazardous materials that cannot be safely shipped
- Any product or service that violates applicable laws
4.3 Accurate Representation
All product listings must be honest and not misleading. You must not use ChatPadi to run scams, deceptive pricing, bait-and-switch schemes, or any fraudulent promotion.
4.4 WhatsApp Channel
If you connect a WhatsApp Business number to ChatPadi, you are responsible for:
- Complying with Meta's WhatsApp Business Policy and all applicable messaging laws
- Informing your WhatsApp customers that an AI agent is handling their enquiries
- Obtaining any required consent from customers to receive automated messages
4.5 Payment Gateway Keys
If you connect third-party payment gateways (Paystack, Flutterwave, Stripe), you are responsible for maintaining the security of your API keys and complying with those providers' terms of service. ChatPadi stores your secret keys encrypted and never exposes them in API responses.
5 Customer Terms
When you shop through a ChatPadi seller's storefront, you are entering into a transaction directly with that seller, not with ChatPadi. ChatPadi is the technology platform only.
- Your purchase is governed by the seller's own policies on delivery, returns, and refunds
- ChatPadi does not guarantee the quality, safety, legality, or delivery of any product or service listed on a seller's storefront
- Payment disputes are between you and the seller
- If you believe a seller is committing fraud or violating these Terms, please report it to us at hello@chatpadi.com
Tip: Before placing an order, verify the seller's store name, contact details, and payment instructions match what you expect. ChatPadi's AI agent (Ama) will display the seller's registered payment details. Always double-check these before sending money.
6 AI Sales Agent (Ama)
Ama is an AI-powered sales agent built on large language model technology (currently Anthropic Claude). Ama operates autonomously within the parameters set by the seller's product catalog and store configuration.
6.1 AI Limitations
You acknowledge that:
- Ama can make mistakes, misunderstand questions, or provide incomplete information
- Ama's responses are generated by AI and do not constitute binding commitments by ChatPadi
- Sellers are responsible for the accuracy of any product information Ama relies on
- Ama may occasionally produce unexpected or off-topic responses
6.2 Seller Responsibility for AI Output
As a seller, you accept that Ama will represent your store autonomously. You are responsible for keeping your product catalog accurate and up to date, as Ama uses this information to respond to customer enquiries. If Ama makes a factual error based on inaccurate catalog data you provided, that is your responsibility.
6.3 Customer Acknowledgement
By chatting with a ChatPadi storefront, customers acknowledge that they are interacting with an AI agent, not a human seller. Sellers are encouraged (and in some jurisdictions required) to disclose AI involvement prominently in their store description.
7 Payments & Fees
7.1 Platform Fees
We may charge sellers subscription fees, transaction fees, or other charges for using the ChatPadi platform. Any fees will be clearly communicated before you are charged. Fees are non-refundable unless otherwise stated or required by law.
7.2 Customer Payments to Sellers
Customer payments go directly to sellers through their chosen payment method (mobile money, bank transfer, Paystack, Flutterwave, Stripe, or cash on delivery). ChatPadi does not hold, process, or escrow customer funds. We are not a payment processor, money transmitter, or financial institution.
7.3 Manual Payments (Mobile Money)
For manual mobile money payments, the seller bears full responsibility for verifying payment proof screenshots and confirming or rejecting orders. ChatPadi is not responsible for fraudulent payment proofs submitted by customers.
7.4 Third-Party Gateways
Paystack, Flutterwave, and Stripe are independent services. Their fees, terms, and payout timelines apply to transactions processed through them. ChatPadi is not responsible for gateway outages, failed transactions, or disputes handled by these providers.
7.5 Taxes
Sellers are solely responsible for determining, collecting, reporting, and remitting any applicable taxes (VAT, GST, sales tax, etc.) on their sales. ChatPadi does not calculate or collect taxes on your behalf.
8 Content & Intellectual Property
8.1 Your Content
You retain ownership of any content you upload to ChatPadi: product photos, descriptions, store names, and logos. By uploading content, you grant ChatPadi a worldwide, royalty-free, non-exclusive licence to host, display, and transmit that content solely for the purpose of operating the platform.
8.2 ChatPadi's Intellectual Property
The ChatPadi name, logo, platform design, software, and all related technology are the exclusive property of ChatPadi and its licensors. You may not copy, reproduce, distribute, modify, create derivative works from, or reverse-engineer any part of the platform without our written permission.
8.3 Feedback
If you provide us with feedback, suggestions, or ideas about the platform, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation to you.
8.4 Third-Party Content
You are solely responsible for ensuring that any content you upload (including product images) does not infringe third-party intellectual property rights. If you believe content on ChatPadi infringes your copyright, please contact us at hello@chatpadi.com.
9 Prohibited Conduct
You agree not to:
- Use ChatPadi for any unlawful purpose or in violation of any applicable laws
- Impersonate another person, business, or entity
- Attempt to gain unauthorised access to any part of the platform, other accounts, or our systems
- Interfere with, disrupt, or overload the platform (e.g. through automated scraping, DDoS attacks, or excessive API requests)
- Upload malware, viruses, or any other malicious code
- Harvest or collect user data without authorisation
- Use the AI agent to generate or distribute harmful, deceptive, or illegal content
- Manipulate reviews, ratings, or other trust signals
- Operate a store as a front for money laundering or financial crime
- Circumvent any security, rate-limiting, or access control measures
Violations may result in immediate account suspension without notice. We cooperate with law enforcement when required.
10 Disclaimers & Limitation of Liability
10.1 Service "As Is"
ChatPadi is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the platform will be error-free, uninterrupted, secure, or meet your specific requirements. We disclaim all implied warranties, including fitness for a particular purpose and non-infringement.
10.2 No Guarantee of Sales
We do not guarantee that using ChatPadi will result in any particular level of sales, revenue, or business outcomes for sellers.
10.3 Third-Party Services
We are not responsible for the actions, availability, or terms of third-party services integrated with ChatPadi, including payment gateways, the WhatsApp Business API, email providers, or AI model providers.
10.4 Limitation of Liability
To the maximum extent permitted by applicable law, ChatPadi's total liability to you for any claims arising under these Terms, whether in contract, tort, or otherwise, is limited to the greater of:
- The amount you paid to ChatPadi in the three months preceding the claim, or
- USD $100
In no event shall ChatPadi be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or loss of business, even if we have been advised of the possibility of such damages.
10.5 Jurisdiction Exceptions
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations above apply only to the extent permitted by law.
11 Indemnification
You agree to defend, indemnify, and hold harmless ChatPadi and its directors, officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the platform in violation of these Terms
- Your content or products listed on ChatPadi
- Any transaction between you (as a seller) and a customer
- Your violation of any applicable law or third-party rights
12 Suspension & Termination
12.1 By You
You may close your seller account at any time by contacting hello@chatpadi.com. Closing your account does not automatically erase your data. See our Privacy Policy for data retention details.
12.2 By ChatPadi
We may suspend or terminate your account, with or without notice, if we determine that you have:
- Violated these Terms or our policies
- Engaged in fraudulent, deceptive, or illegal activity
- Created risk or legal exposure for ChatPadi or other users
- Failed to pay outstanding fees
12.3 Effect of Termination
Upon termination, your right to use the platform ceases immediately. Sections of these Terms that by their nature should survive (including intellectual property, indemnification, limitation of liability, and governing law) will remain in effect.
13 Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Any dispute arising from these Terms or your use of ChatPadi will first be attempted to be resolved through good-faith negotiation. If that fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent harm while arbitration is pending.
For users in the EU / UK: If you are a consumer in the European Union or United Kingdom, you may have additional rights under local consumer protection law that cannot be waived by contract. Nothing in these Terms limits those rights.
14 Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Email registered sellers at least 14 days before changes take effect
- Show a prominent notice on the platform
Your continued use of ChatPadi after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree, you may close your account before the effective date.
